License caps, vertical-integration rules, and capital scarcity mean few cannabis companies can do everything themselves. A cultivator with a retail partnership has guaranteed shelf space; a brand with white-label production scales without buildout; a retailer with supply agreements survives shortages. In a constrained industry, partnerships are how businesses reach beyond their own license.
The accounting side nobody plans for
Every partnership creates transactions that must be priced, documented, and reported correctly: revenue splits, licensing royalties, supply pricing, co-marketing costs. Between related parties, those terms must also survive arm's-length scrutiny — because a partnership structure with off-market pricing looks, to an examiner, like a 280E workaround wearing a costume.
